    Overview

New Zealand companies establishing a subsidiary, limited liability company, regional headquarters or foreign branch in Saudi Arabia may need to provide authenticated corporate documents as part of the registration process.

CLS coordinates the legalisation of New Zealand company documents for use before Saudi investment, commercial, banking and regulatory authorities.

Our service can include document review, notarisation, DIA Authentication, Saudi Embassy (Wellington) or Consulate-General (Auckland) legalisation where required, translation and secure delivery to the company’s Saudi adviser.

Last reviewed: July 2026. Saudi company formation requirements depend on the proposed legal structure, shareholders, business activity and instructions issued by Saudi authorities and professional advisers.

Why Are Documents Attested for Saudi Company Formation?

Saudi authorities may request authenticated records to confirm:

The legal existence of the New Zealand parent company
    The company’s ownership and directors
Its authority to establish a Saudi entity
The appointment of a Saudi representative
The powers granted to lawyers or incorporation agents
    The company’s constitutional authority
Its financial standing or operating history
The identity and authority of shareholders and signatories

Attestation allows the New Zealand documents to be presented as formally authenticated records within the Saudi registration process.

    How It Works

    How Company Formation Attestation Works

    1

Step 1: Document Schedule Review and Preparation

CLS reviews the incorporation checklist provided by the Saudi lawyer, adviser, Ministry, investment authority or business registration platform, and identifies which documents require legalisation and which are supporting records only.

Corporate resolutions and powers of attorney may need to follow specific wording, execution and witnessing requirements. CLS reviews the proposed preparation pathway but does not replace advice from the company’s New Zealand or Saudi legal counsel.

    2

    Step 2: Notarisation

The documents are signed, certified or notarised in the form required for subsequent New Zealand and Saudi processing.

Evidence of the signatory’s company authority may also be required.

    3

    Step 3: DIA Authentication

The notarised corporate documents are submitted to the DIA Authentication Unit for an Apostille or Authentication where required.

    4

Step 4: Saudi Embassy Legalisation (where required) and Delivery

CLS coordinates Saudi diplomatic legalisation of the eligible document set and, where requested, arranges Arabic translation and delivers the completed documents to the New Zealand company or its Saudi adviser.

    What Slows Applications Down

Common Causes of Company Formation Delays

Every common cause of delay — and how CLS prevents it before submission.

    Incorrect Resolution Wording

The board or shareholder resolution may not contain all powers required by the Saudi authority or adviser.

    Signatory Authority Is Not Evidenced

The Notary Public may need proof that the person signing can legally bind the New Zealand company.

    Company Documents Are Outdated

A current company extract or recently issued corporate record may be required.

    Documents Are Signed Before Review

Documents signed prematurely may need to be re-executed if the witnessing or notarisation format is incorrect.

    Inconsistent Company Names

The company’s legal name must remain consistent across NZ Companies Office records, resolutions, powers of attorney and Saudi applications.

Changes to the Proposed Saudi Structure

Switching between a branch, subsidiary, joint venture or another structure may change the required documents.

    Translation Inconsistencies

Company names, shareholder details and legal powers must be translated accurately and consistently across the application.

Company Formation Attestation Is Not the Same as Incorporation Advice

CLS provides document preparation coordination, authentication and Saudi legalisation services.

The company’s Saudi legal adviser, incorporation consultant or relevant authority should determine:

    The appropriate Saudi legal structure
    Investment-registration requirements
    Ownership restrictions
    Capital requirements
    Licensing obligations
    Tax and employment implications
The final wording of resolutions and powers of attorney

CLS then manages the legalisation pathway for the approved documents.
